Standard Terms and Conditions of Sale
These Terms of Sale ("Terms") govern the sale of products and services by Dongguan Jinjia Power Equipment Co., Ltd. ("Jinjia Power," "we," "us," or "our") to the purchaser ("Customer," "you," or "your"). By placing an order with Jinjia Power, you agree to be bound by these Terms. These Terms may be updated from time to time; the latest version applies to all orders.
All quotations are valid for 15 days from the date of issue unless otherwise stated in writing. Prices are quoted in Chinese Yuan (CNY) or US Dollars (USD) as specified. All prices are exclusive of applicable taxes, duties, freight, insurance, and installation unless expressly stated otherwise. Jinjia Power reserves the right to revise prices at any time prior to order acceptance.
Orders are subject to written acceptance by Jinjia Power. A binding contract is formed only when Jinjia Power issues a written order acknowledgment or invoice. Custom or special-order products may be subject to additional terms and lead times. All specifications, drawings, and technical data provided in quotations are approximate and subject to manufacturing tolerances.
Standard payment terms: 30% deposit with order, balance payable prior to delivery. Payment methods: bank transfer (T/T) or as agreed in writing.
Standard payment terms: 30% deposit with order, 70% balance before shipment. Payment methods: T/T (wire transfer), irrevocable L/C at sight. All international orders are subject to applicable export controls and regulations.
Delivery dates are estimates only and are not guaranteed. Jinjia Power shall not be liable for any delays in delivery caused by circumstances beyond our reasonable control, including but not limited to manufacturing delays, shipping disruptions, customs clearance, or force majeure events. Risk of loss or damage passes to the Customer upon delivery to the carrier. For international orders, delivery terms are EXW (Ex Works) Jinjia Power factory unless otherwise agreed in writing.
Title to the products remains with Jinjia Power until full payment has been received. Risk of loss or damage to the products passes to the Customer upon delivery to the carrier or, for pickup orders, upon the products leaving Jinjia Power's premises.
Jinjia Power warrants that new products manufactured by us will be free from defects in materials and workmanship for a period of 12 months from the date of shipment or 1000 hours of operation, whichever occurs first. Used/refurbished products carry a 90-day warranty from the date of shipment.
This warranty does not cover: (a) normal wear and tear; (b) misuse, abuse, neglect, or improper installation; (c) unauthorized modifications or repairs; (d) consumable items such as filters, belts, and fluids; (e) products not operated and maintained in accordance with manufacturer instructions; (f) damage caused by external factors including accidents, fire, flood, or power surges.
Any warranty claim must be submitted in writing within 30 days of discovery. Jinjia Power's sole obligation under this warranty is, at our option, to repair or replace the defective product or part. Transportation costs for warranty service are borne by the Customer.
Custom-built and special-order products are non-cancellable and non-returnable. Standard product orders may be cancelled within 3 business days of order acknowledgment. Returns of standard products in original condition may be accepted within 14 days of delivery, subject to a 15% restocking fee. Return shipping costs are borne by the Customer.
To the maximum extent permitted by law, Jinjia Power's total liability arising from or related to the sale of products shall not exceed the purchase price of the products giving rise to the claim. In no event shall Jinjia Power be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of use, downtime, or damage to property.
All intellectual property rights in the products, designs, specifications, and technical information provided by Jinjia Power remain our exclusive property. No license or right to use any of our intellectual property is granted to the Customer except as necessary to use the products as intended.
The Customer agrees to comply with all applicable export control laws and regulations. The products sold by Jinjia Power may be subject to the export control laws of the People's Republic of China and other applicable jurisdictions. The Customer shall not re-export, transfer, or otherwise dispose of any products in violation of applicable export controls.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Dongguan, Guangdong Province, China.
